  The following constitutes a formal agreement between First Stop Web Design (hereafter referred to as ‘the agent’) and the organisation, company or enterprise (referred to as ‘the customer’).

Commissioned Projects

On taking up commissions to develop web projects all customers are provided with a copy of the Terms & Conditions and Customer Agreement setting out the terms to which all parties are be bound, and do not affect your Statutory Rights.

General Terms & Conditions

1. Price

Orders for any of our goods or services will be invoiced at the price applicable at the date of order, and as set out in any marketing materials or current services described on the agents’ website.

Prices quoted are not subject to VAT and delivery charges.


2. Payment

The title to all goods sold by First Stop Web Design will remain vested therein until full payment has been made. At any time at its discretion First Stop Web Design may use its retention of title to recover goods or withdraw services not paid for in full, or as specified in the product or service description, from a customer or an assigned third party.


Should default be made by the customer in paying any sum due under order or contract, First Stop Web Design at its option shall be entitled to treat such default as a repudiation of the customer agreement or service description. The customer must pay the agents reasonable charges that are incurred in the course of any part or all performance and work under the agreement by the agent.


If the customer is a limited company or other legal entity claiming limited liability and is unable to pay for goods and or services supplied for any reason whatsoever, including insolvency, the directors or partners shall also become jointly and severally liable for the debt to First Stop Web Design.


3. Exclusion

If the customer requires independent advice on their online resource requirements, goods or services for any purpose, they should seek appropriate professional third-party advice where required. The agents’ staff or associates may express an opinion of any third-party goods or services, but these are not binding on the agent, and will be based on

the description of any such third-party goods or services taken from their own marketing materials or information.


4. Liability

First Stop Web Design undertakes to replace, correct or at its option credit the value of all goods or services supplied which are defective or otherwise not in conformity of the customer agreement or service description. The agent must be informed in writing of such defective goods or services and requested to make such replacement or correction or give such credit. the agent accepts no liability for information provided by the customer that is mis-spelt, or contains errors or omissions, and the customer is responsible for checking all the information is correct prior to submission.


The agents' liability (in contract, service description or otherwise) in respect of any goods and services supplied by it shall be limited solely to the terms herein, and in no circumstances does the agent accept any further liability for either direct or consequential losses to the customer howsoever or whenever arising, except where stated in these terms.


5. Limitation of Liability

If the agent carries out any work at the request of the customer, its liability for any failure or breach of the customer agreement will be limited to the invoiced cost of the work unless any other third-party losses can be proven.


6. Cancellation

Orders placed with the agent cannot be cancelled except under the terms of the customer agreement or service description in place at the time, or with the agents written consent. Full details of all such matters will be outlined in customer agreements or service descriptions.


7. Data Protection

The information that you provide to the agent about yourself, your organisation, company or enterprise, will only be used in accordance with our Privacy/Data Protection Policy . The agents Privacy/Data Protection Policy does not apply to services, communications or websites operated by third parties.


8. Returns

All products or services are deemed to have been accepted by the customer within five days of the completion/delivery date, unless the agent is notified within that time in writing that the products or services are defective. In order for the notice of rejection to be effective the agent must have been formally notified and details of why the products or services are rejected must be provided. The customer will be provided with replacements or alternatives of any rejected products or services. Refunds will only be provided under the terms originally set out in the customer agreement or service description of any third parties.


9. Performance of Contract

In event of any of the following occurring, which effects the performance of any product or service obligation undertaken by First Stop Web Design, we cannot accept liability for any effect on your organisation, company or enterprises marketing or other related systems:


  1. An event in nature, outbreak of war, either general or local riot or other civil commotion, strike, lockout, act or decree of any government or any other act, or anything beyond our reasonable control.
  2. Non-delivery or non-performance by the agents’ suppliers or damage, loss or destruction of the whole or part of the goods or service delivery by any cause beyond the agents control.


Under such circumstances, First Stop Web Design may at its option suspend performance or cancel its obligation under the customer agreement or service description without liability for any damage or consequential loss resulting therefrom. Such suspension or cancellation being without prejudice to the company’s right to recover all sums owing to it for any service obligations that were already completed or delivered by the agent.


10. Assignment

The customer agreement or service description shall not be assigned by the customer to any third party without the

prior consent of First Stop Web Design. Only someone who is; or those who are, a party to any customer agreement or service purchase has the right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.


The advice we give you is for your sole use and is confidential to you and will not constitute advice for any third party to whom you may communicate it. We will accept no responsibility to third parties for any aspect of our services, products or work that is made available to them without our prior knowledge or consent.


11. Intellectual Property

The customer is to indemnify the agent against any claims whatsoever for damages and or costs against all liability in respect of any infringement of trade mark, patent right, copyright or any other intellectual property that is used or purchased without the agents’ prior knowledge.


12. Law and Jurisdiction

The customer agreement or service description shall be governed by and interpreted in accordance with English law. The Courts of England shall have exclusive jurisdiction in relation to any claim, dispute or difference concerning these terms of business and any matter arising from or under them.


Each party irrevocably waives any right it may have to object to any action being brought in those courts, to claim that the action has been brought in an inconvenient forum, or to claim that those courts do not have jurisdiction.
